1. Acceptance of Terms
By accessing or using DELIVAR ("the Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform. These terms apply to all users, including company administrators, team members, and any person who accesses the Platform on behalf of a registered company.
2. Description of Service
DELIVAR is a cloud-based distribution and logistics management platform that provides tools for order management, inventory tracking, delivery dispatch, customer management, and financial reporting. The Platform is provided as a Software-as-a-Service (SaaS) subscription and is accessible via web browser and mobile applications for iOS and Android.
3. Account Registration
To use DELIVAR, you must register a company account and create a subdomain. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate, complete, and current information during registration.
4. Subscription and Payment
DELIVAR operates on a subscription basis. Subscription fees are billed monthly or annually as selected at sign-up. All payments are processed through Paystack and are subject to their payment terms. Subscriptions renew automatically unless cancelled before the renewal date.
5. Free Trial
New accounts receive a 14-day free trial with full access to all platform features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the platform. Your data is retained for 30 days after trial expiry before permanent deletion.
6. Data Ownership and Privacy
You retain full ownership of all data you enter into the Platform. DELIVAR does not sell your data to third parties. We process your data in accordance with our Privacy Policy and applicable data protection laws including the Nigeria Data Protection Regulation (NDPR) and equivalent legislation in Ghana, Kenya, South Africa and Tanzania.
7. Data Security
DELIVAR implements industry-standard security measures including AES-256 data encryption at rest and in transit, role-based access controls, and regular security audits. Each company account is completely isolated from others using row-level security.
8. Acceptable Use
You agree not to use the Platform for any unlawful purpose, to upload malicious code or harmful content, to attempt to gain unauthorised access to other accounts or systems, to resell or redistribute the Platform without authorisation, or to use the Platform to process illegal transactions.
9. Intellectual Property
The Platform, including its software, design, trademarks, logos and content, is owned by DELIVAR Technologies Ltd and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business operations.
10. Governing Law
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
